Market research companies wishing to use our data must register for a dedicated "Market Research Plan." Subscription plans are not available to resellers, and no reseller activity is permitted.

3.2 Prohibited Activities

Users are expressly prohibited from engaging in any form of automated, semi-automated, or manual data scraping, mining, harvesting, or extraction, or any other unauthorized collection or manipulation of data from GlobalSift.com and App.GlobalSift.com. This prohibition extends to the use of bots, scrapers, spiders, and any other automated systems, scripts, or processes. Data downloads must be executed solely through the data download feature, utilizing the download credits allocated according to your subscription plan. Fair and genuine business load is permitted; however, any use resulting in system overload is not allowed.

3.3 Access Restrictions

Access to GlobalSift.com and App.GlobalSift.com is restricted to authorized users. Unauthorized access, use, tampering, or interference with GlobalSift.com, App.GlobalSift.com, or associated systems is strictly prohibited and may be subject to legal action.

3.4 Monitoring

GlobalSift LLC reserves the right to monitor interactions with GlobalSift.com and App.GlobalSift.com to enforce these Terms & Conditions and to detect and prevent unauthorized scraping or data collection activities.

3.5. Rights to Use

If you become aware of any unauthorized access or other security breaches related to GlobalSift.com and App.GlobalSift.com, you are required to notify GlobalSift LLC immediately.

3.8 Liability for Violations

Users found in violation of these Terms & Conditions shall be liable for all damages caused to GlobalSift LLC, including but not limited to loss of revenue, legal expenses, and reputational damage.

4. Subscription Fee & Taxation

You shall pay the full amount invoiced, net of all charges, to your account with GlobalSift in accordance with the billing terms in effect at the time you subscribe to the Services. GlobalSift shall issue invoices that are exclusive of any and all taxes. You are solely responsible for any and all taxes, duties, fees, or other governmental charges that may be imposed in your jurisdiction related to your use of the Services, including but not limited to Use Tax, Sales Tax, VAT, and Withholding Tax. Payments must be made according to these Terms and Conditions or any separate written agreement with GlobalSift. It is your responsibility to ensure that GlobalSift receives the full payment of the invoice raised, without any deductions for taxes, duties, or bank charges.

5. Login Credentials

GlobalSift provides you with a username and password (“Login Credentials”). You agree that you are responsible for protecting your Login Credentials from unauthorized use, and you are responsible for all activity that occurs under those Login Credentials. You agree to notify us immediately if you believe that any of your Login Credentials has been or may be used without your permission so that appropriate action can be taken. GlobalSift is not responsible for any loss or damage caused by, or expense incurred by you as a result of, your failure to safeguard your Login Credentials.

6. Term

Your subscription to Services or access to paid content shall commence on the date of activation of your plan, and shall continue for the period of time for which you have subscribed to the services, unless earlier terminated or extended pursuant hereto. If you choose to subscribe to our Services on an ongoing basis, these Terms and Conditions will renew automatically for successive periods of time equal to the duration of your initial subscription or for such renewal period as you may otherwise provide on the Website pages in which you subscribe to the Services.

7. Publicity

Unless otherwise agreed by GlobalSift, your purchase of a Service constitutes granting the right to use your name and your company’s name and logo in GlobalSift’s online and/or printed marketing materials and/or on the Website, to disclose that you and/or your Company are a client of GlobalSift.

8. Refund Policy

GlobalSift offers a 100% refund within 3 days of subscription if it is proven that GlobalSift’s export-import shipment data is wrong and your download credit consumption is below 200 points.

9. Content Utilization Guidelines
9.1 Authorized Download Methods

You are allowed to download content solely by utilizing the download feature for such action, and within the bounds of the download credits allocated as per your subscription agreement.

9.2 Internal Use Limitations

The content is designed to be used solely for your internal informational purposes. No redistribution, transmission, or other forms of sharing—either digitally or mechanically, including photocopying and recording—are permitted for any other intent.

9.3 Proprietary Notices

Copyright, trademark, and other ownership markers may not be erased or altered from any content or other materials accessed via the Services.

9.4 No Modifications or Derivatives

You are expressly prohibited from modifying, adapting, or generating derivative products based on the Website, its Services, or its content. - Affiliated with or controlled by non-U.S. military organizations.

- Involved in activities restricted under U.S. export laws, including nuclear, missile, or chemical or biological weapon-related activities.

17. Compliance with Anti-Corruption and FCPA Laws

17.1 You hereby declare and assure to GlobalSift that you have neither made nor will make any form of payment or transfer of value, whether directly or indirectly, to:

- any government official,

- another individual, or

- any entity, with the intent to encourage any governmental action, secure business, gain an unfair benefit, or violate the Foreign Corrupt Practices Act or any other applicable law.

17.2 Should the above circumstance occur, you agree to immediately inform GlobalSift.

17.3 In this context, "Government Official" refers to any individual employed by or representing a government body at any level, including officials or employees of political parties, international public organizations, or any individual running for a political office, and any person acting officially for such entities.

18. Enforcement of Agreement

18.1 This Agreement is governed by the laws of the State of Delaware, USA, without referring to its conflict of law rules.

Arbitration Clause

18.2 This Agreement, including any existing or future disputes related to it, will be arbitrated under the Delaware Rapid Arbitration Act ("DRAA"). Arbitration will be the exclusive means for resolving disputes, and failure to comply with this clause will result in dismissal of any initiated legal actions. All associated fees will be the responsibility of the non-compliant party. In case of violation, the party seeking relief may claim injunctive or other equitable remedies. The arbitrator will be selected by GlobalSift from a list of three arbitrators suggested by you, all of whom must be Delaware-licensed experts in commercial litigation.

19. Entire Agreement

These Terms and Conditions constitute the full understanding between the parties and override all prior communications, understandings, and agreements. They can only be modified through a written document signed by both parties or by GlobalSift’s subsequent updates.

20. Additional Provisions

This Agreement does not establish any relationship of partnership, joint venture, or employment between the parties. GlobalSift retains all intellectual property rights associated with its Content, technology, and tools. Written notices under this Agreement are effective upon receipt.
